Terms of Service
These Terms of Service ("Terms") govern the supply of products and services by Greenfields Dairy Supplies Ltd and the use of any related ordering, delivery, account, or customer service arrangements. Please read these Terms carefully before placing an order or using our services.
1. Introduction and acceptance of terms
These Terms constitute a legally binding agreement between you, the customer, and Greenfields Dairy Supplies Ltd, whose registered business address is Greenfields Dairy, Unit 4, Riverside Industrial Estate, St John Street, Cattle, North Yorkshire, YO8 4QG, UK.
By placing an order, accepting a quotation, receiving delivery, or otherwise using our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not place an order or use our services.
Where you act on behalf of a business, organisation, café, restaurant, retailer, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.
2. Scope of services
Greenfields Dairy Supplies Ltd supplies dairy products and related services, including but not limited to:
- Fresh milk supply;
- Cream and butter distribution;
- Cheese sourcing and wholesale supply;
- Dairy delivery for cafes and restaurants;
- Bulk dairy orders for retailers; and
- Organic and speciality dairy products.
All services and products are subject to availability, seasonal variation, supplier availability, transport constraints, and applicable food safety and quality requirements. We may alter product specifications, packaging, delivery schedules, or sourcing arrangements where reasonably necessary, provided such changes do not materially reduce the agreed core service without your consent where required.
Any descriptions, images, catalogues, sample products, price lists, or menus are provided for guidance only and do not constitute a binding offer unless expressly stated otherwise.
3. User obligations and responsibilities
You agree to:
- Provide accurate, complete, and up-to-date account, delivery, and billing information;
- Ensure that delivery instructions are clear and that access to the delivery location is available and safe;
- Inspect goods promptly upon delivery and notify us of any shortages, damage, or quality concerns within a reasonable time;
- Store dairy products in accordance with any provided instructions, including temperature control and expiry-date management;
- Ensure that products are handled, distributed, and resold in compliance with all applicable food hygiene, labelling, and consumer protection laws;
- Not misuse our services, attempt unauthorised access to any account or ordering system, or interfere with our operations;
- Pay all invoices in full and on time; and
- Notify us promptly of any changes to contact details, business status, or delivery requirements.
You are solely responsible for ensuring that products are suitable for your intended use, including any specific dietary, allergy, or regulatory requirements relevant to your business or end customers.
4. Payment terms and conditions
Prices for products and services will be those quoted by Greenfields Dairy Supplies Ltd or shown on the relevant invoice, order confirmation, or agreed price list, unless otherwise stated. All prices are subject to change at any time before acceptance of an order.
Unless expressly stated otherwise:
- Prices may be exclusive of VAT and other applicable taxes, which will be charged where required by law;
- Payment is due within the timeframe stated on the invoice or account terms;
- We may require advance payment, a deposit, or payment on delivery for certain orders;
- Failure to pay on time may result in suspension of deliveries, account restrictions, recovery action, and/or interest on overdue sums where permitted by law;
- You are responsible for bank charges, transfer fees, or currency conversion charges imposed by your payment provider;
- We may set off any amounts owed by you against any sums we owe to you, to the extent permitted by law.
If we believe there is a material risk of non-payment, we may withhold or discontinue supply until suitable payment security is provided.
5. Cancellation and refund policy
Because our products are perishable and often produced, sourced, or prepared to order, cancellations may be restricted.
- Standard recurring or scheduled deliveries may be cancelled or amended only if notice is given within the timeframe communicated by us for that order cycle;
- Special orders, bulk orders, sourced cheeses, organic products, or bespoke requests may be non-cancellable once procurement or preparation has begun;
- Where a cancellation is accepted, any refund will be limited to amounts already paid for undelivered goods or services, less any non-recoverable costs incurred by us;
- No refund will be provided for products that have been delivered, accepted, consumed, improperly stored, or damaged after delivery unless required by law;
- Refunds or replacements for faulty, damaged, missing, or incorrect items will be assessed on a case-by-case basis and may require evidence such as photographs, batch information, or delivery records.
Nothing in these Terms excludes or limits any statutory rights that cannot lawfully be excluded. Where a refund or replacement is due under applicable law, we will act in accordance with those requirements.
6. Liability limitations
To the fullest extent permitted by law, Greenfields Dairy Supplies Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive losses, including loss of profit, loss of revenue, loss of business, loss of goodwill, or loss of anticipated savings, arising out of or in connection with the supply or use of our products or services.
Our total aggregate liability arising from any claim relating to an order or service shall be limited to the amount paid or payable by you for the specific products or services giving rise to the claim, except where a greater limitation is required by law.
Nothing in these Terms limits or excludes liability for:
- Death or personal injury caused by negligence;
- Fraud or fraudulent misrepresentation;
- Any liability that cannot be excluded under applicable law; or
- Breach of any statutory duty that cannot lawfully be limited.
You acknowledge that dairy products are perishable and that proper storage, handling, and timely use are essential. We are not responsible for losses caused by failure to follow storage instructions, delays after delivery, or misuse of products.

- Transport disruptions, road closures, fuel shortages, or vehicle breakdowns;
- Supply chain interruptions or product shortages;
- Fire, flood, storm, or other natural events;
- Industrial action, labour shortages, or staffing disruptions;

The remaining provisions shall continue in full force and effect. Any failure by us to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.
